Overview:
An established mining and consulting firm seeks a meticulous and experienced Company Secretary Administrator to oversee corporate governance and compliance requirements for a diverse portfolio of clients. This role demands exceptional organisational skills, strong attention to detail, and in-depth knowledge of statutory requirements and best practices.
Key Responsibilities:

Manage all company secretarial duties in line with applicable legislation and governance standards.

Oversee the conversion and deregistration processes for Close Corporations and Companies.

Coordinate appointments and resignations of Directors, Members, Auditors, Accounting Officers, and Public Officers.

Facilitate share allotments, transfers, and buy-backs.

Draft and prepare special resolutions, board minutes, and formal notices.

File annual returns and maintain Beneficial Ownership records in compliance with regulations.

Prepare and submit statutory documentation to the CIPC and follow up on outstanding matters.

Maintain and update statutory registers, minute books, and electronic company records for all entities.

Manage a portfolio of clients, ensuring high-quality service delivery and compliance.

Prepare shareholders' resolutions and meeting minutes in accordance with governance standards.

Liaise with clients, shareholders, beneficiaries, auditors, and other stakeholders.
Requirements:

Relevant Diploma/ degree in Legal Sector
- 7 + Years relevant experience in similar role
